1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and AK Kinetic Studio ("Studio", "we", "us", or "our"), concerning your access to and use of the https://ak-kinetic-studio.pages.dev website as well as any related web design, motion development, and digital engineering services.

By accessing this website, creating an account, or purchasing any service plan, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the site and must discontinue use immediately.

2. Plans, Deliverables & Pricing

The Studio provides bespoke digital web design and engineering packages as detailed on our Pricing page:

• Basic Plan (Single-Page Digital Flagship): Responsive landing page, bespoke layout, mobile optimization, and contact routing. Estimated delivery: 5–7 business days.
• Standard Plan (Multi-Page Kinetic Brand System): 2 to 3 custom pages, smooth motion choreography, dynamic project showcase, and conversion architecture. Estimated delivery: 10–14 business days.
• Premium Plan (Interactive 3D WebGL Experience): Custom Three.js/WebGL scene, bespoke shaders, priority VIP turnaround, and turnkey deployment. Estimated delivery: 2–3 weeks.
• Custom Enterprise: Tailored enterprise architecture based on formal statement of work.

All prices are displayed in Indian Rupees (INR ₹) and United States Dollars (USD $) and represent fixed service engagement fees unless custom scope additions are requested in writing.

3. Payments & Gateway Processing (Razorpay)

We accept payments through Razorpay Standard Web Checkout, supporting UPI, credit cards, debit cards, and net banking:

• Instant Booking: Selecting a plan and completing payment via Razorpay initiates your project booking and generates an official tax invoice (AK-INV-2026-XXXX).
• Server-Side Pricing: The payable amount is calculated exclusively by our server based on verified plan rates and active promotional discounts. Client-side tampering is strictly prevented by HMAC-SHA256 signature verification.
• Currency & Taxes: Unless explicitly noted otherwise, service rates are quoted exclusive of statutory Goods and Services Tax (GST) where applicable.

4. Promotional Discounts & Promo Codes

From time to time, the Studio may issue promotional discounts and promo codes for quotes and checkout:

• Discounts are valid strictly within their stated start and auto-expiry dates.
• Promo codes have specific usage limits and cannot be combined or applied retroactively to previously executed orders.
• The Studio reserves the right to withdraw or modify promotional discounts at any time without prior liability.

5. User Accounts & Client Gateway

When creating an account on our platform:

• You must provide accurate, current, and complete information, including full name, valid email address, and contact number.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• Passcodes are protected via PBKDF2/SHA-256 cryptographic hashing. You must notify us immediately at hello@apexstudio.design if you suspect any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that engage in fraudulent behavior, unauthorized system probing, or violation of these Terms.

6. Intellectual Property & Ownership Rights

Our mutual intellectual property rights are structured as follows:

• Client Deliverables Ownership: Upon full and final settlement of all applicable service fees, the Client owns full commercial rights to the bespoke design compositions, brand visual assets, custom copy, and site content created specifically for the project.
• Studio Intellectual Property: AK Kinetic Studio retains proprietary ownership of its foundational code libraries, pre-existing UI frameworks, shader modules, and design methodologies. The Studio grants the Client a perpetual, non-exclusive, worldwide license to use these embedded tools as part of the live website.
• Portfolio Rights: Unless a non-disclosure agreement (NDA) is executed prior to project kickoff, AK Kinetic Studio reserves the right to showcase the finalized project, video screen recordings, and case studies in its portfolio and design award submissions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, AK Kinetic Studio, its freelancers, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the website or deliverables.

In any circumstance, our aggregate liability arising out of or related to any project engagement shall not exceed the total monetary amount actually paid by you to AK Kinetic Studio for that specific service contract.

8. Governing Law & Jurisdiction

These Terms and your use of the website shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
